Terms of Service

1. Acceptance of Terms

By accessing and using the services provided by PT Morris Creator Tech ("Company", "we", "our", or "us"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

PT Morris Creator Tech provides enterprise technology solutions including but not limited to:

• WhatsApp Business API integration and management
• Custom web and mobile application development
• Data analytics and business intelligence solutions
• Technology consulting services

3. Service Agreement

3.1 Scope of Work

The specific scope of work, deliverables, timelines, and pricing will be defined in a separate Statement of Work (SOW) or service agreement for each project.

3.2 Payment Terms

Payment terms will be specified in the service agreement. Unless otherwise stated, payments are due within 30 days of invoice date.

3.3 Project Timeline

We will make reasonable efforts to meet agreed-upon timelines. However, delays may occur due to factors beyond our control, including but not limited to client delays in providing necessary information or approvals.

4. Client Responsibilities

Clients agree to:

• Provide timely access to necessary systems, data, and personnel
• Provide clear and timely feedback and approvals
• Ensure all provided content and materials do not infringe on third-party rights
• Maintain confidentiality of any credentials or access provided

5. Intellectual Property

5.1 Client-Owned IP

Upon full payment, clients will own the custom code and deliverables created specifically for their project, excluding any pre-existing Company IP or third-party components.

5.2 Company-Owned IP

We retain ownership of our proprietary methodologies, frameworks, tools, and any pre-existing intellectual property used in delivering services.

5.3 Third-Party Components

Third-party software, libraries, and components remain the property of their respective owners and are subject to their respective licenses.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the engagement.

7. Warranties and Disclaimers

7.1 Service Warranty

We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.

7.2 Disclaimer

Except as expressly stated, services are provided "as is" without warranties of any kind, either express or implied.

8. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from services provided shall not exceed the total amount paid by the client for the specific services giving rise to the claim.

9. Termination

Either party may terminate the service agreement with written notice as specified in the agreement. Upon termination, the client shall pay for all services rendered up to the termination date.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Indonesia.

11. Changes to Terms

We reserve the right to modify these terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.
